Mr. Hutton focuses his practice on matters related to employee benefits and executive compensation for public and private companies. His experience includes advising clients with respect to the design, drafting and operation of tax-qualified pension plans, 401(k) plans, profit-sharing plans and employee stock ownership plans. He also provides advice on fiduciary issues and prohibited transaction issues and exemptions.

Mr. Hutton's executive compensation experience includes matters related to the design, drafting and taxation of stock option plans, restricted stock plans, phantom equity plans, supplemental executive retirement plans, excess benefit plans, and other deferred compensation arrangements. He also counsels clients on employee benefits, compensation and labor matters in initial public offerings and mergers and acquisitions, as well as on matters involving employment agreements, severance arrangements and golden parachute issues.

In addition, Mr. Hutton advises clients on securities issues affecting employee benefit plans and disclosure of compensation arrangements in securities filings.
